Terms and Conditions

1. CANCELLATION – Once an order is accepted by Seymour-Sheridan, Inc., it cannot be cancelled or changed without written consent of Seymour-Sheridan, Inc. If such consent is given, a cancellation or change charge may be applied by Seymour-Sheridan, Inc.
   
2. QUANTITIES – All quotations are based upon the customer accepting over-runs and under-runs not exceeding ten percent (10%) of the quantity ordered, to be paid for or credited on a pro rata basis.
   
3. PATENTS – It is not the intention of Seymour-Sheridan, Inc. to manufacture any product which is an infringement of a patented article, and it is understood that Seymour-Sheridan, Inc. will be notified immediately if any such claim is made. If such claim is made, Seymour-Sheridan, Inc. may at its option cancel the customer’s purchase order. Customer will hold harmless and indemnify Seymour-Sheridan, Inc. from any patent infringement claims where specifications are supplied by the customer.
   
4. WARRANTY – SEYMOUR-SHERIDAN, INC. warrants its products to be free from defects in materials and workmanship, under normal use and service, for a period of twelve (12) months, from date of shipment. The sole liability of SEYMOUR-SHERIDAN, INC. under this warranty and the purchaser’s sole exclusive remedy is limited to the repair or replacement, at the option of SEYMOUR-SHERIDAN, INC., of the product, or any parts thereof, which upon examination by SEYMOUR-SHERIDAN, INC. disclose to its satisfaction defects due to faulty material or poor workmanship, and which defects are reported to SEYMOUR-SHERIDAN, INC., in writing, promptly after discovery of the defect(s) and during the warranty period.
   
   The warranty provisions contained herein are expressly in lieu of all other warranties, express, statutory, or implied in fact or by law, and all other remedies against SEYMOUR-SHERIDAN, INC. for consequential or other damages arising out of the sale, use or operation of its products, AND THERE ARE NOT IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. The warranty provisions contained herein shall not apply to cover any defects resulting from normal wear and tear, unauthorized changes, repairs, alterations or modifications to the product, or any other causes beyond the control of SEYMOUR-SHERIDAN, INC. SEYMOUR-SHERIDAN, INC. neither assumes nor authorizes any other person or business organization to assume for it any other warranty or liability in connection with the sale, use or operations of its products.
   
5. PAYMENT – Payment shall be Net cash in US Dollars within 30 days of invoice or for orders up to $2,000.00 by Mastercard, Discover or Visa. Customer shall reimburse Seymour-Sheridan, Inc. for any expenses incurred in the collection of any overdue balance, including court costs and reasonable attorney’s fees. A late charge of 1½% per month will be applied to the balance of all accounts not paid when due.
   
6. LIMITATION OF LIABILITY – SEYMOUR-SHERIDAN, INC. WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL OR INCIDENTAL DAMAGES CLAIMED IN RELATION TO ANY ALLEGED BREACH OF THE WARRANTY PROVISIONS OR ANY OTHER TERM OF THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO CLAIMS FOR LOSS OF USE AND LOSS OF PROFITS.
